Whistleblowing Policy

INTRODUCTION

1.1.0

United Malacca Berhad (UMB) and its subsidiaries (UMB Group) is committed to achieving and maintaining the highest work ethics and transparency in its operations and businesses.

1.2.0

UMB Group encourages all employees to raise concerns of any improper conduct by its directors, management and staff including any wrongdoing, corruption, fraud, waste and/or abuse.

2.0.0

Objectives

2.1.0

This policy is intended to facilitate employees and other stakeholders to report instances of misconduct, wrongdoing, corruption, fraud, waste of UMB Group’s resources or abuse of UMB Group’s rules and policies.

3.0.0

Types of Wrongdoing

3.1.0

The following is a non-exhaustive list of wrongdoing or improper conduct:-

  • Fraud, bribery, corruption, forgery, cheating or malpractice;
  • Criminal breach of trust;
  • Misappropriation of UMB Group’s funds or assets;
  • Abuse of power and position;
  • Misuse of confidential information;
  • Sexual harassment;
  • Acts or omissions which may cause loss to UMB Group or is detrimental to the interests of stakeholders;
  • Non-compliance with UMB’s procedures or breach of internal controls;
  • Failure to comply with legal obligations and acts or omissions against the interests of the UMB Group or against any laws, regulations, requirements of statutory bodies or public policies;
  • Endangering the health and safety of employees; and
  • Any attempt to conceal or suppress information relating to the above or other wrongdoing.

Whistleblowing Channels

4.1.0

A whistle blower may choose to make an anonymous report; his or her identity will be kept confidential. However, to facilitate an investigation, sufficient information of the improper misconduct or alleged wrong doing must be provided to the CEO, Head of Group Audit, Audit Committee Chairman and/or Chairperson.

4.2.0

The whistle blower may disclose the following information:-

  • Name of whistle blower.
  • Contact details.
  • Details of person (s) involved.
  • Details of the allegation including supporting emails or other documents, the time and venue the alleged incident took place.

4.3.0

The report must be in writing, submitted by post or email to whistleblowing@unitedmalacca.com.my or to the personal email addresses of the CEO, Head of Group Audit, Audit Committee Chairman or Chairperson. If sent by post, the report must be properly sealed in an envelope with the words on the envelope: “Strictly Confidential – To be opened by Addressee Only.”

Alternatively, the whistle blower may complete and submit the Online Whistleblowing Form available on the UMB website at www.unitedmalacca.com.my. The submission will directly divert to whistleblowing@unitedmalacca.com.my.

The Audit Committee will investigate the report. After investigating the report, the Audit Committee reports to the Board of Directors on reports that require their attention and decision.

Protection to Whistle Blower

5.1.0

The whistle blower’s identity and other details will be kept confidential to protect the whistle blower.

6.0.0

Acting in Good Faith

6.1.0

While allegations made in good faith – even if later proved unfounded – will be protected. However, the company reserves the right to take legal action against allegations actuated by malice and unsupported by any documented information.

Confidential

7.1.0

The Company will treat all reports and disclosures as confidential and
only reveal information if required by law.

This Policy will be periodically reviewed and updated.
