( relating to purported intention to sell 2 parcels of oil palm plantation land with total acreage of approximately 25,000 acres situated in the locality of Sungai Millian-Labau in the District of Kinabatangan, Sabah )
United Malacca Berhad (“UMB”) is a public company listed on Bursa Malaysia. Its main businesses are in oil palm plantation and operation of palm oil mills.
UMB owns, among other parcels of land, two adjacent parcels of plantation land totalling approximately 25,000 acres (“the Millian-Labau Land”) in the locality of Sungai Millian-Labau in the District of Kinabatangan, Sabah.
Despite placing an advertisement in newspapers in Peninsular Malaysia and in Sabah in June and July last year denying the Millian_labau Land is for sale, UMB continues to receive many enquiries from numerous parties regrading its intention to sell the Millian-Labau Land.
UMB was recently informed there are documents purportedly signed by directors of UMB indicating UMB’s intention to sell the Millian-Labau Land. These documents include:
- a purported power of attorney whereby UMB purportedly authorized a third party to sell the Millian-Labau Land and collect the proceeds of sale; and
- a letter purportedly signed by directors of UMB confirming the validity of this power of attorney.
All the signatures in both documents purported to be those of directors of UMB are forgeries.
The directors of UMB whose signatures were forged have made a police report relating to the forgery of their signatures.
UMB views the abovementioned matters VERY SERIOUSLY.
UMB is issuing this Notice to inform the Public that UMB HAS NO INTENTION OF SELLING THE MILLIAN-LABAU LAND.
Further, UMB wishes to inform the Public that UMB has not appointed any agent or authorized any person(s) to seek or negotiate with any party for the sale of the Millian-Labau Land or to collect or receive any money on its behalf.
UMB would also like to warn the Public not to be misled by any persons or parties purporting to be UMB’s agent or authorized personnel.
Similarly, UMB would like to affirm that it has not granted any company or individual a power of attorney to sell the Millian-Labau Land on its behalf.
Any document purportedly signed by directors or officers of UMB relating to the sale of the Millian-Labau Land or the receipt of any monies relating to such sale is a forgery and legally invalid.
UMB will take all appropriate action against any party who is responsible for the forgeries and for the continuing and deliberate misinformation about the purported sale of the Millian-Labau Land.
